PinsXP User Agreement

Welcome to PinsXP!

PinsXP Inc (“PinsXP”, “we”, “us” or “our”) provides a social discovery platform that enables users to create, share and discover location-based moments, experiences and recommendations.

This User Agreement (“Agreement”) governs your access to and use of the PinsXP App and related services (the “App”). By creating an account, accessing, or using the App, you agree to be bound by this Agreement and all incorporated policies. If you do not agree, you must not use the App.

This Agreement incorporates by reference the following policies, which form part of these Terms:

1. Eligibility

To use PinsXP App, you must:

PinsXP does not knowingly permit individuals under 18 to create accounts or use the App.

2. Privacy

PinsXP’s data practices are described in our Privacy Policy, which forms part of this Agreement. Please review it carefully, as it explains how we collect, use, and share your information.

Information we collect: PinsXP may collect information which includes account details, content you upload, device information, precise location (only if granted), diagnostics/crash data, and limited analytics to maintain security and performance.

Purpose of collection: To operate and improve the App, maintain safety and security, and comply with legal requirements.

User controls: You may request access to or deletion of your data, adjust location permissions, and manage notification preferences.

Data retention: Your deleted content is removed from active systems within a reasonable timeframe; limited backups may persist for up to 90 days (or longer, if we are legally required to maintain your data).

International transfers: data may be processed in jurisdictions outside your residence, under strict security and privacy safeguards.

Security: industry-standard protections are applied; we will notify you without undue delay if a breach requiring disclosure occurs.

3. Location safety and responsible use

PinsXP is not designed for emergencies or critical navigation. Be mindful about sharing precise locations. Do not use PinsXP to stalk, harass, or endanger anyone. In an emergency, call local emergency services.

If you choose to meet someone you connected with on PinsXP, meet in public places, tell a friend where you are going, and trust your instincts. PinsXP does not conduct criminal background checks and is not responsible for users’ offline conduct.

Never share your home address, accommodation details, or other sensitive locations publicly.

4. Your content and licence to us

You own your content.

You retain ownership of all content you post or upload (“User Content”). To operate, display, and improve the App, you grant PinsXP a non-exclusive, worldwide, royalty-free, and transferable licence to host, reproduce, modify, adapt, communicate, and display your User Content in connection with the service. This licence ends when the content is deleted from active systems.

You remain solely responsible for your User Content and for ensuring it complies with applicable laws and the Community Guidelines.

Feedback

Any ideas, suggestions, bug reports, or other feedback you provide may be used by PinsXP without restriction or compensation to you. You grant PinsXP a perpetual, irrevocable licence to use feedback to develop and improve our products and services.

Publicity & reposts

You grant PinsXP permission to display public in-app content (for example, a featured “moment”) on official PinsXP channels, including app-store listings, without implying endorsement. PinsXP will not use your name, image, or likeness for paid endorsements without your separate written consent.

5. Community standards and enforcement

All users must follow the PinsXP Community Guidelines and Child & Minor Protection Statement, which apply in addition to this Agreement. These documents provide further detail on prohibited conduct, reporting procedures, and enforcement.

You may not use the App for any unlawful, harmful, or exploitative purpose, including but not limited to harassment, stalking, threats, discrimination, or disclosing others’ personal information without consent.

We may remove content, restrict features, or suspend accounts at our discretion where we reasonably believe these rules or the Policies are breached. You can report objectionable content, abusive user behaviour or policy violations via compliance@pinsxp.com. These will be reviewed within 24 hours.

If you think a moderation decision was incorrect, you may request a review via the in-app process or by emailing compliance@pinsxp.com.

6. Promotions, advertising and partnerships

PinsXP may display promotions, advertising, or sponsored content within the App. All paid or sponsored materials will be clearly labelled (for example, “Ad” or “Sponsored”).

Creator disclosure obligations

If you share paid or sponsored content, you must comply with the PinsXP Advertising and Disclosure Rules, and applicable consumer-protection laws (for example, by using ’#ad’ or ’Paid partnership’).

7. Third-party services and links

The app may contain links to third‑party websites, content, or services (for example maps and payment providers). PinsXP is not responsible for their content, policies, or actions. Your use of third-party services is at your own risk and subject to their own terms.

8. Account closure and deletion

You can manage permissions in your device settings and in‑app privacy controls.

You may close and delete your account directly in the App’s account settings. Alternatively, you may contact us at support@pinsxp.com.

On closure, we will delete or de-identify your personal data within a reasonable period, subject to legal obligations and limited backup retention.

This process complies with both Apple’s App Store and Google Play account-deletion policies.

9. Warranties, liability and consumer rights

To the fullest extent permitted by law, PinsXP provides the App “as is” and without warranties of any kind, express or implied. PinsXP is not liable for indirect, incidental, special, consequential, or punitive damages arising from your use or inability to use the App.

Nothing in this Agreement limits any non-excludable rights you may have under applicable consumer-protection laws.

10. Dispute resolution

Informal Resolution First

Please contact support@pinsxp.com so we can try to resolve issues informally within 30 days.

Arbitration and class‑action waiver

Except for small‑claims court or requests for temporary injunctive relief (e.g., to stop misuse of IP or the service), you and PinsXP agree to resolve disputes by binding arbitration administered by AAA under its Consumer Arbitration Rules. No class actions or class arbitration. You may opt out of this arbitration clause by emailing compliance@pinsxp.com within 30 days of account creation with the subject “Arbitration Opt‑Out.” Arbitration will take place in English and may be conducted virtually unless otherwise agreed.

Export controls & sanctions

You represent you are not located in, under the control of, or a national/resident of any country or person subject to U.S. sanctions or export restrictions, and you will not use the app in violation of such laws.

11. Changes to this Agreement

We may update this Agreement for the Beta. If we make material changes, we will provide reasonable notice in‑app or by email. Your continued use after the effective date means you accept the changes. If you don’t agree, stop using the app and close your account.

Priority of Policies. For privacy and safety topics, the Privacy Policy and Community Guidelines take precedence over any conflicting language here.

We will always indicate the Effective Date and Version of this Agreement in the app and on our website.

12. Intellectual property and DMCA policy

PinsXP respects intellectual‑property rights and expects users to do the same. If you believe content infringes your copyright, please send a DMCA notice to our Designated Agent:

Your notice must include the information required by 17 U.S.C. §512(c)(3). We may remove content and, where appropriate, suspend repeat infringers.

13. App store terms

This Agreement is between you and PinsXP, not Apple or Google. Apple and Google are third‑party beneficiaries and may enforce relevant terms. You must comply with the App Store or Google Play terms that apply to your device.

Electronic communications consent. By joining the Beta, you consent to receive emails and in‑app/push messages about the Beta (service updates, safety notices, feature tests). If we test SMS, we will obtain your number and provide a simple opt‑out. Message/data rates may apply.

14. General terms

Severability, waiver, assignment, entire agreement. If any part of this Agreement is unenforceable, the rest remains in effect. Failure to enforce isn’t a waiver. We may assign this Agreement; you may not without consent. This Agreement, together with the Policies, is the entire agreement for the Beta.

15. Supplementary terms

Certain features of the App are subject to additional terms.

APPENDIX A – Experience Provider Terms

A1. Scope and applicability

This appendix applies to users who create or manage Experiences, Business Profiles, or promotional listings within the App (“Experience Providers”).

A2. Responsibilities and compliance

You are responsible for all information, images, and materials included in your Experience Content. You agree to:

You must not post Experience Content that is illegal, offensive, discriminatory, misleading, or violates any intellectual-property or privacy rights.

You must ensure all information provided adheres to PinsXP Policies, including, but not limited to, Community Guidelines, Advertising and Disclosure Rules, and the Child & Minor Protection Statement.

A3. Content ownership and licence

You retain ownership of all Experience Content but grant PinsXP a non-exclusive, worldwide, royalty-free, sublicensable licence to host, distribute, and promote it within the App and PinsXP marketing materials until deleted. You warrant you hold all necessary rights.

A4. Payments and fees

Use of PinsXP’s business and promotional tools is currently provided free of charge. PinsXP reserves the right to introduce fees or paid services in the future. You will be given reasonable advance notice before any fees apply, and you may choose whether to continue using paid features.

If you engage in paid promotions or advertising, additional payment terms may apply, which will be communicated at the time of purchase.

A5. Termination and suspension

You may stop using Experience Provider features or delete your listings at any time.

PinsXP may suspend or terminate your Experience Provider privileges if you breach this Agreement or any incorporated Policy.

PinsXP may update this Agreement periodically. Material changes will be communicated in-app or by email, and continued use of Experience Provider features after the effective date constitutes acceptance of the revised terms.

Disputes will be resolved under the arbitration provisions in the PinsXP User Agreement.

A6. Liability and indemnity

Liability

To the fullest extent permitted by law, PinsXP provides the App and its business features “as is” and makes no guarantees regarding reach, visibility, performance, or engagement of Experience Content.

PinsXP is not liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the App, advertising tools, or promotions.

Indemnity

You agree to indemnify, defend, and hold harmless PinsXP, its affiliates, officers, employees, and agents from and against any claims, damages, losses, or liabilities (including reasonable legal fees) arising from:


APPENDIX B – Community Owner Terms

B1. Scope and applicability

This Appendix applies to users who create, manage, or moderate Communities within the App (“Community Owners”).

B2. Safe and inclusive environment

As a Community Owner, you are responsible for ensuring that your Community is a safe, respectful, and inclusive space. You agree to:

Communities that promote or tolerate unsafe or unlawful behaviour may be removed without notice.

B3. Moderation responsibilities

You are responsible for moderating your Community in accordance with the PinsXP Community Guidelines and this Agreement.

You agree to:

PinsXP reserves the right to review moderation decisions, remove content, or restrict access to Communities that breach its standards.

B4. Privacy and data handling

You must protect the privacy of your Community members.

You agree to:

You must not use or export Community data for commercial, marketing, or surveillance purposes.

B5. Transparency and sponsorships

If your Community receives support, benefits, or funding from an organisation or brand, you must clearly disclose this relationship in accordance with the PinsXP Advertising and Disclosure Rules.

Transparency and trust are essential. Failure to disclose sponsorships or conflicts of interest may result in suspension of Community privileges.

B6. Activity and accountability

Communities should remain active, safe, and well-managed. You agree to:

PinsXP may temporarily suspend or transfer ownership of inactive or non-compliant Communities. Where possible, advance notice will be provided before any transfer or closure.

B7. Termination and governing law

You may delete your Community or step down as its owner at any time.

PinsXP may suspend, remove, or reassign Community ownership if:

PinsXP may modify this Agreement periodically. Material changes will be communicated in-app or by email. Continued management of a Community after changes take effect constitutes acceptance of the revised terms.

Disputes will be resolved under the arbitration provisions of the PinsXP User Agreement.
